These Terms of Service ("Terms") govern your access to and use of the SettlPay website and platform (the "Service") provided by SettlPay ("SettlPay," "we," "us"). By using the Service or requesting early access, you agree to these Terms.

1. What SettlPay is

SettlPay is a software platform. Card payments are processed end-to-end by licensed, PCI-compliant acquiring partners. Settlement is provided by licensed payment and settlement providers, and fiat-to-digital-dollar conversion is performed by a regulated conversion partner that acts as the seller of record. SettlPay does not hold, transmit, or take custody of customer funds, and is not a bank, money transmitter, or money services business.

Where the platform provisions a digital-dollar wallet, that wallet is non-custodial: it is owned and controlled by the end user from the moment it is created. SettlPay never controls user funds.

2. Early access

The Service is offered on a limited, pre-release basis. Features, availability, and timing may change, and access may be granted, limited, or withdrawn at our discretion. Nothing on this site is an offer of a live service, pricing, or a guarantee of availability.

3. Eligibility

You must be at least 18 and able to form a binding contract. Business users represent that they are authorized to act for their organization and will provide accurate onboarding and verification information.

Any fees for the Service are established in a separate agreement with you. No pricing is offered or implied on this website.

6. No financial or investment advice

SettlPay provides software and does not provide banking, investment, tax, or legal advice. Digital dollars referenced by the Service are regulated, fully-reserved, dollar-denominated settlement assets issued by licensed institutions; SettlPay does not issue them.

7. Disclaimers

The Service and website are provided "as is" and "as available," without warranties of any kind to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or available in any particular timeframe.

8. Limitation of liability

To the fullest extent permitted by law, SettlPay will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from your use of the Service.

9. Changes

We may modify the Service or these Terms. Material changes will be reflected by the "Last updated" date above; continued use constitutes acceptance.

10. Governing law

These Terms are governed by the laws of the United States and the state in which SettlPay is organized, without regard to conflict-of-laws principles.
